CONFIDENTIALITY AGREEMENT & DISCLAIMER
THIS IS A CONTRACT! READ IT CAREFULLY.

All the proprietary information furnished by Xiaoming Huang or the Company to you will be confidential. Unless broker agree otherwise in writing, you will not disclose or reveal any proprietary information for five years from the date to any person(s) or entities(s) other than your employees or representatives who are directly participating in the evaluation of this information for any purpose other than in connection with a proposed acquisition. Although you understand that we and the Company have included in this proprietary information certain information which we consider to be relevant for the purpose of your investigation, we do not make any representation or warranty as to its accuracy or completeness.

Buyer Confidentiality Agreement:

I agree to be discreet and act as a customer; I agree not to talk to owner, employees, customers, landlord, property management, nearby tenants, or suppliers about the business being for sale or for lease.

Understanding of Confidentiality:

I understand a business owner or landlord may be severely financially harmed if it becomes known prematurely the business or Property is for sale or lease. I agree that any information and materials provided by the Broker are confidential and shall not be disclosed to any other party except my legal and financial advisors. I commit not to utilize any obtained information to the detriment of the Property or the Broker. I shall refrain from directly or indirectly contacting the business owner, employees, suppliers, landlord, or customers without prior written permission from the Broker. I acknowledge that the Broker is the sole reason I was introduced to the Property and all negotiations related to the purchase or lease of the Property shall be conducted exclusively through the Broker. I recognize that the seller or landlord of the Property is designated as a third-party beneficiary to this Agreement. I agree to view the Property confidentially and discreetly as instructed.

Instructions for Viewing the Business:

I will not talk to the business owner, employees, suppliers, landlord, or customers without prior written permission from the Broker. I will drive by the business and, if interested in seeing inside, will enter as a customer without engaging employees in conversation beyond normal customer interaction. If not dining at the business, I will discreetly visit the restroom and exit without conversing with any employees. Further interest in the business or additional information shall be requested through the Broker.

Exclusive Representation of Buyer:

Buyer grants Broker the sole and exclusive right to represent Buyer in purchasing the business or leasing, purchasing the Property. If I have further interest in purchasing the business or leasing, purchasing the Property, I agree to contact the Broker/Agent to make all necessary arrangements.

It is extremely important that you follow the instructions indicated above regarding confidentiality. If you breach the above policy you will be liable for legal damages including monetary damages.
